ITEM 8.01 OTHER EVENTS.

On June 3, 2011, Natural Alternatives International, Inc., a Delaware corporation (“NAI”), issued a press release announcing that its Board of Directors has authorized the repurchase of up to $2 million worth of its shares. Under the repurchase plan, NAI may, from time to time, purchase shares of its common stock, depending upon market conditions, in open market or privately negotiated transactions. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.

Announces Stock Repurchase Plan

SAN MARCOS, Calif,, June 3, 2011 /PRNewswire via COMTEX/ — Natural Alternatives International, Inc. (“NAI”) (Nasdaq: NAII), a leading formulator, manufacturer and marketer of customized nutritional supplements, today announced its Board of Directors has authorized the repurchase of up to $2 million worth of its shares. Under the repurchase plan, NAI may, from time to time, purchase shares of its common stock, depending upon market conditions, in open market or privately negotiated transactions. Based on the last sale price of NAI’s common stock as reported by Nasdaq on June 2, 2011, this authorization would be for the repurchase of approximately 600,000 shares.
